Right to express opinion [Section 12(c)]

Section 12(c) contains the following provision with regard to the right of a partner to express the opinion in the partnership matters :

Any disagreement over routine business subjects may be resolved by a majority vote of the partners, and each partner has the right to weigh in before a decision is made. However, the nature of the business cannot be altered without the unanimous approval of all partners.

The aforementioned provision states that when there are disagreements among the partners, the majority of the partners cannot disregard the minority and make decisions without consulting them.
