Right to take part in the conduct of the business [Section 12(a)]
Every partner is entitled to participate in the management of the enterprise under Section 12(a). Every partner has the right to participate in the management of the partnership’s business because the enterprise belongs to all of the partners. The partners are permitted to specify in the contract that certain other partners will not participate in the operation of the firm and just a select few of them will.
If a partner is mistakenly deprived such a right, he or she may file a legal action to have the right upheld. Only those partners will be eligible for this privilege if the right to conduct of the firm has been assigned to just a selected few of the partners.
